6. Intellectual Property Rights
6.1. You retain ownership of all pre-existing intellectual property provided to us.
6.2. Upon full payment, we grant you a non-exclusive, non-transferable license to use the deliverables created for your project.
6.3. Source Code Ownership: Unless otherwise agreed, we retain rights to any custom code or proprietary frameworks used in the project.
7. Confidentiality
7.1. Both parties agree to maintain the confidentiality of all proprietary and confidential information shared during the project.
8. Warranty and Limitation of Liability
8.1. We make reasonable efforts to ensure the quality and functionality of our work but do not guarantee specific results.
8.2. We are not liable for any direct, indirect, incidental, or consequential damages, including but not limited to loss of data, revenue, or business opportunities.
9. Termination
9.1. Either party may terminate this agreement with 15 days written notice if the other party breaches these terms.
9.2. Any unpaid fees at the time of termination become immediately due.
10.1. This agreement is governed by and interpreted in accordance with the laws of Kolkata.
11. Changes to Terms
11.1. We reserve the right to modify these terms at any time. Any updates will be published on our website.
12. Force Majeure
12.1. We are not liable for delays or failures in performance due to events beyond our reasonable control, including but not limited to acts of nature, government actions, war, and unforeseen technical failures.
13. Dispute Resolution
13.1. In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation.

17.1. We may recommend or use third-party services or products as part of our work. We are not responsible for their performance or any issues arising from their use.
18. Non-Solicitation
18.1. For 12 months after contract termination, you agree not to solicit or hire our employees or contractors who were involved in your project without our written consent.
19. Survival of Terms
19.1. Sections 6 (Intellectual Property), 7 (Confidentiality), 8 (Warranty and Liability), and 11 (Changes to Terms) will remain in effect even after the termination of this agreement.
